Associate Corporate Counsel

The Associate Corporate Counsel drafts, reviews, negotiates, and interprets various contracts for our service and maintenance group, including service and maintenance, operations support, and parts and repair agreements; works closely with the contract management function; conducts research and presents findings and recommendations; drafts memoranda, correspondence, and other written communications; manages external counsel when necessary; and interacts with global legal and business colleagues on multi-jurisdictional transactions and initiatives.

Responsibilities:

  • Draft, review, and negotiate a variety of contracts.
  • Draft correspondence, memoranda, and presentations.
  • Ensure compliance with internal review processes.
  • Manage external counsel as needed.
  • Interact with global legal and business colleagues on multi-jurisdictional transactions and initiatives.
  • Support the company's legal staff on fast-paced and complex transactions.
  • Provide practical, timely, and accurate legal advice on a wide range of issues.
  • Work closely and effectively with the legal team and other company employees of all levels and cultures in a global organization.
  • Exhibit good judgment, decision-making, research, analytical, and communication skills.
  • Provide training on legal issues.
  • Follow company processes and guidelines.
  • Perform other duties as required.

Qualifications:

  • J.D from an accredited law school, admission to state bar, and ability to practice law.  
  • Two to five years of experience practicing law in a law firm, government agency, or corporate law department.
  • Client service orientation.
  • Adept at negotiating, drafting, organization, and communication.
  • Ability to perform well and be a good teammate in a high-demand and challenging work environment.
  • Comfort with ambiguity.
  • Effective prioritization abilities and able to manage time effectively with supervision.
  • Ability to analyze problems and apply legal principles, facts and precedents to recommend adoption of an effective, practical and proper course of action.
  • Flexibility with travel based on company needs and objectives.

Competencies:

  • Proficiency in Microsoft Office and other legal and contracting software programs.
  • Effectively and accurately communicate legal concepts with outside lawyers, company lawyers, customers, and internal clients.
  • Effectively and accurately assist the Senior Director and other company lawyers with contracts.
  • Effectively and accurately draft, review, and negotiate contracts.
